Terms of use for the Material Take-Off plugin and website, operated by blackmirror media gmbh (nio energy).

1. Who we are

Material Take-Off (the "Service") is a Claude Code plugin and accompanying website (material-take-off.com) operated by blackmirror media gmbh ("we", "us", "our"), Cobenzlgasse 79, 1190 Vienna, Austria, FN 475645 d (Commercial Court Vienna), VAT ID ATU72557958, trading as nio energy. 2. Acceptance of these terms

By installing or using the Service you agree to these Terms & Conditions. If you are using the Service on behalf of an organisation, you confirm that you are authorised to accept these terms on its behalf. If you do not agree, do not use the Service.

3. Beta status

The Service is provided as a public beta. It is made available free of charge while in beta. Beta software may contain errors, may change or be withdrawn at any time, and may produce incomplete or inaccurate results. We may introduce paid plans for future versions; we will give reasonable notice before any charges apply to you.

4. Licence and acceptable use

We grant you a limited, non-exclusive, non-transferable, revocable right to install and use the Service for your internal business or professional purposes during the beta. You may not:

  • copy, redistribute, sublicense, sell or rent the Service;
  • reverse engineer, decompile or attempt to extract the source code or bundled databases, except where this restriction is prohibited by law;
  • remove or alter any proprietary notices; or
  • use the Service unlawfully, to infringe third-party rights, or to circumvent usage limits or security.

5. How the Service works

The plugin reads IFC building models from your local device, matches materials against environmental databases (ÖKOBAUDAT, ICE) and produces an Excel take-off with embodied-carbon figures. Material matching is carried out with the help of Claude. Your IFC files are processed locally and are not uploaded to us. For details of what data is processed, see our Privacy Policy.

6. Third-party services and data

The Service runs inside Claude Code and uses Claude (provided by Anthropic). You are responsible for having your own valid access to Claude and for complying with Anthropic's terms. Content you submit to Claude is processed by Anthropic under its own terms and privacy policy. The Service also relies on third-party reference data, including ÖKOBAUDAT (operated by the German Federal Ministry for Housing, Urban Development and Building) and the ICE database. That data remains subject to its providers' own terms and licences.

7. No professional advice — your responsibility to verify

Take-offs, quantities and embodied-carbon figures produced by the Service are estimates generated by automated tools. They do not constitute engineering, cost, structural, legal or certification advice, and must not be relied on as the sole basis for tendering, certification, structural or regulatory decisions. You are responsible for reviewing and validating all outputs before use.

8. Intellectual property

The Service, including its software, design, branding and bundled databases (as compiled by us), is owned by blackmirror media gmbh or its licensors and is protected by law. You retain all rights to your own IFC models and to the take-off files you generate.

9. Warranties and disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that results will be accurate or complete.

10. Limitation of liability

To the extent permitted by Austrian law, we are liable only for damage caused intentionally or by gross negligence. Liability for slight negligence is excluded, except for personal injury or where mandatory law (such as product-liability law) provides otherwise. We are not liable for indirect or consequential loss, loss of profit, or loss arising from your reliance on take-off results. As the Service is currently provided free of charge during the beta, our liability is limited accordingly.

11. Term and termination

You may stop using the Service and uninstall the plugin at any time. We may suspend or terminate your access, or discontinue the Service, at any time during the beta. Provisions that by their nature should survive termination (e.g. intellectual property, disclaimers, limitation of liability) will continue to apply.

12. Changes to these terms

We may update these terms from time to time. We will post the updated version here with a new "last updated" date. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law and jurisdiction

These terms are governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Vienna, Austria, to the extent permitted by law. Mandatory consumer-protection rights in your country of residence remain unaffected.
